Who we're looking for:
Rover is looking for a skilled Corporate Securities Counsel to join our Legal team, reporting to the General Counsel, with partial paralegal support. You'll be responsible for a range of corporate governance, corporate development, public reporting, and securities law matters, working cross-functionally with our Finance and Accounting teams. You will have impeccable subject matter knowledge in corporate and securities law, excellent written and verbal communication skills, intellectual curiosity, and the ability to maintain a sense of humor under stress. Experience in a publicly traded, emerging growth company is not required but is preferred. Position is in our Seattle office, but you must be able to work remotely from home until offices reopen.
Your Responsibilities:
- Assisting with drafting and review of current, quarterly, and annual reports, and preparation of annual shareholder meeting materials
- Providing key support to financial reporting and investor relations teams during quarterly earnings cycles, including research and advice on financial disclosure requirements and regulatory compliance
- Monitoring, communicating, and advising leadership on changes of law and best practices for public companies
- Supporting insider trading compliance, including Section 16 and 10b5-1 trading plans
- Advising on executive compensation issues and the Company’s equity incentive plan
- Supporting and collaborating with other in-house attorneys and outside advisors (including outside counsel) on corporate transactions
- Assisting in the development of corporate governance policies and procedures and advising on related corporate and securities laws and NASDAQ listing rules
Your Qualifications:
- J.D. from an accredited law school
- Licensed (or license pending) attorney qualified to practice in Washington State
- 4+ years of experience in corporate securities law in law firm practice and/or in-house
- Excellent written, verbal, and interpersonal communication skills
- Ability to listen to, collaborate with, and provide strategic counsel to business clients at multiple levels of the organization
- Ability to coordinate and prioritize multiple projects with limited supervision in a fast-paced environment
- Organized, detail-oriented, with strong time management skills and outstanding follow through
- Exceptional judgment and personal integrity
